The same discipline, inside a regulated structure

A private research process and a SEBI-registered Category III AIF are not different philosophies. They are the same discipline, carried into a framework built to give eligible investors access to it.

Carrying a personal research process into a regulated fund does not change the philosophy - it changes the framework the philosophy runs inside. The bottom-up research, the preference for quality and scalability, the insistence on capable management and the patience to hold conviction are exactly the same. What a SEBI-registered Category III Alternative Investment Fund adds is structure, governance and the protections a regulated framework provides.

Continuity of philosophy

The most important thing about the move into a fund is what does not change. The research seat is the same one that has operated since 2005. Ideas are still generated bottom-up, positions are still sized by conviction, and holdings are still stewarded over a long horizon rather than traded around. Investors in a fund like this are buying access to a process, and that process only has value if it is applied with the same discipline inside the structure as it was outside it.

What the structure adds

A regulated, close-ended vehicle brings its own disciplines: defined governing documents, SEBI oversight, and a framework within which research, portfolio construction and stewardship are carried out. For eligible investors, it is a way to access a research-led approach without having to run the process themselves. The specific strategy, tenure, corpus, fees and all commercial terms are set out in the Fund's Private Placement Memorandum and Contribution Agreement, which govern everything.
